Koch Acquires 50% Stake in Jorf Fertilizers Company I to Boost Global Supply.

Koch Ag & Energy Solutions (Koch) and OCP Nutricrops S.A. (OCP) have signed an agreement under which Koch will acquire a 50% interest in Jorf Fertilizers Company I (JFC I), creating a new 50/50 operating joint venture with OCP once the transaction is completed.

The agreement expands the companies’ existing partnership, which began in 2022 when Koch purchased a 50% stake in Jorf Fertilizers Company III, now known as Kofert.

JFC I operates a phosphate fertilizer production facility in Jorf Lasfar, Morocco, capable of producing up to 1.2 million metric tons of phosphate-based fertilizers annually.

The facility is part of the Jorf Fertilizer Complex, recognized as the world’s largest phosphate fertilizer production platform.

Following the completion of the transaction, the two joint ventures will have a combined production capacity of about 2.5 million metric tons of phosphate-based fertilizers each year. The expanded partnership is expected to strengthen fertilizer supplies for customers worldwide, including those across North America.

The agreement comes as farmers seek more dependable fertilizer supplies, diversified sourcing options, and long-term solutions to support resilient agricultural supply chains.

Moroccan fertilizer shipments do not normally pass through the Strait of Hormuz but experts say can still be impacted by disruptions there because the Middle East region supplies ammonia, a key phosphate fertilizer input.

The agreement also follows the U.S. administration’s recent decision to temporarily suspend countervailing duties on phosphate fertilizer imports from Morocco, creating additional opportunities to supply U.S. growers with essential crop nutrition products.

"This investment builds on the successful collaboration we have had through the Kofert venture," said Scott McGinn, Koch Fertilizer President. "We are excited to expand Koch Fertilizer's phosphate offering for our customers and to continue to grow Koch's long-standing relationship with OCP."

"We welcome the signing of this agreement, which marks an important milestone in our long-standing partnership with Koch, a key North American player," stated Faris Derrij, Chairman and Chief Executive Officer of OCP Nutricrops.

"The joint venture strengthens our ability to deliver reliable, high-quality soil nutrition solutions to farmers and customers, including across North America, while contributing to more resilient agricultural value chains and long-term food security."
