CubicFarm Systems Corp. Announces Extension to Hold its Annual General Meeting from the Toronto Stock Exchange and the Registrar of Companies, British Columbia

VANCOUVER, BC,  CubicFarm® Systems Corp. ("CubicFarms" or the "Company") (TSX: CUB), a leading local chain agricultural technology company, today announced that it has been granted an extension of: (i) three months by the Toronto Stock Exchange to hold its Annual General Meeting ("AGM") for the year ended December 31, 2022 from June 30, 2023 to September 30, 2023; and (ii) three months by the Registrar of Companies, to hold its AGM under section 182(4) of the Business Corporations Act from September 16, 2023 to December 16, 2023.

This will provide the Company with the required time to consider certain potential transactions potentially requiring securityholder approval or the potential consolidation of its share capital and circulate the required documents within the required timeframe.

The Company has set the AGM date for September 28, 2023. Notice of the meeting and record date will be filed on SEDAR+ (www.sedarplus.ca) at a later date.

White rot, also known as sclerotinia, is a common agricultural fungal disease caused by various virulent species of Sclerotinia. It initially affects the root system (mycelium) before spreading to the aerial parts through the dissemination of spores.

Sclerotinia is undoubtedly a disease of major economic importance, and very damaging in the event of a heavy attack.

All these attacks come from the primary inoculum stored in the soil: sclerotia. These forms of resistance can survive in the soil for over 10 years, maintaining constant contamination of susceptible host crops, causing symptoms on the crop and replenishing the soil inoculum with new sclerotia.
