Bartlett Grain Company Completes Acquisition of Ceres Global Ag Corp.


MINNEAPOLIS, MN- Ceres Global Ag Corp. ("Ceres" or the "Corporation") (TSX: CRP) and Bartlett Grain Company, LLC ("Bartlett"), part of the Savage family of companies focused on international agricultural merchandising and storage, are pleased to announce that 1001239530 Ontario Inc. (the "Purchaser"), a newly formed entity controlled by Bartlett, has completed the previously announced statutory plan of arrangement whereby the Purchaser has acquired all of the issued and outstanding common shares of Ceres (the "Shares") for US$4.50 per Share, in cash (the "Transaction"). The Transaction, which was announced on May 20, 2025, was approved by shareholders of the Corporation at a special meeting held on June 30, 2025.

In connection with the closing of the Transaction, it is expected that the Shares will be delisted from the Toronto Stock Exchange (the "TSX") at the close of trading on July 8, 2025 and that the Corporation will promptly apply for an order to cease to be a reporting issuer in each of the applicable jurisdictions in Canada.
